  • The foregoing notwithstanding, the Company's Board of Directors may, by written notice (a "Conditional Notice") to the Grantee, inform the Grantee that it (or PTBI or another Exercising Person) intends to exercise the Mabesa Option but only if the Grantee intends to exercise this Option, in which event the Exercise Event shall be deemed to have commenced on the date that the Grantee receives the Conditional Notice.
