The purchase price for the Shares (the "Purchase Price") shall be the sum of (i) $10,133,977 (the "Base Price"), which shall be allocated $6,789,180 to the PSEC Shares and $3,344,797 to the PSPC Shares, plus or minus, as appropriate (ii) the Net Adjustment (as hereinafter defined).
