  • The PSI Systems Acquisition shall be consummated in accordance with Applicable Law and on the terms described in the PSI Systems Acquisition Agreement without giving effect to any waiver, modifications or consents thereunder that is materially adverse to the interests of the Lenders (as reasonably determined by the Arrangers), without the prior written consent of the Arrangers.
