On the Closing Date, after giving effect to the PSI Systems Transactions, Liquidity shall not be less than $20,000,000.

Except with respect to the financial statements of PSI Systems delivered on or prior to the Closing Date pursuant to Section 6.1(f), all such financial statements, including the related schedules and notes thereto, have been prepared in accordance with GAAP.
The PSI Systems Acquisition shall be consummated in accordance with Applicable Law and on the terms described in the PSI Systems Acquisition Agreement without giving effect to any waiver, modifications or consents thereunder that is materially adverse to the interests of the Lenders (as reasonably determined by the Arrangers), without the prior written consent of the Arrangers.
