  • The Buyer agrees to promptly prepare, file with the Securities and Exchange Commission (the “SEC”) and deliver to its stockholders (in any event no later than October 19, 2007) a supplement to the Proxy Statement disclosing any Seller Purchase of more than 5% of the outstanding shares of the Buyer’s Common Stock, and the Company Proxy Information contained in such supplement shall be in a form acceptable to the Seller.

  • The Subadviser shall supply such Required Proxy Information to the Trust and TAMIC, or any authorized representative of the Trust or TAMIC, not later than the July 31st following said June 30th.

  • Company Information As defined in Section 4(a)(i).

It includes, but is not limited to: the student’s name, address, telephone listing, electronic mail address, photograph, date and place of birth, major field of study, dates of attendance, grade level, enrollment status (i.e., full-time or part-time), participation in officially recognized activities and sports, weight and height of members of athletic teams, degrees, honors and awards received, and the most recent educational agency or institution attended.
