PROXY CONSENT definition

PROXY CONSENT means the consent to sell the Properties and all of the properties which are the subject of the Related Seller Agreements, as applicable, from more than 50% of the interests in Seller held by the limited partners of Seller. Such Proxy Consent shall be received pursuant to a definitive proxy statement filed with the Securities and Exchange Commission pursuant to Section 14(a) of the Securities Exchange Act of 1934, as amended.
