Provisional payment to be made 2 Working Days after presentation and acceptance of the Provisional Documents, however Buyer, on a best-efforts basis, shall endeavour to make the provisional payment within 1 Working Day.

The Seller will be entitled to charge and invoice (such invoice being the "Provisional Invoice") the Buyer for a provisional payment of 95% of the Estimated Price (Tax shall be calculated as per current Mexican IVA law - Ley de impuesto al Valor Agregado at a 0% rate as specified in article 2.A.), in respect of each shipment of Concentrate, once such Estimated Price has been calculated in accordance with Clause 7 above against presentation of Provisional Documents.
Late Delivery does not constitute a Delivery Default if it is cured within four (4) days (in the case of Late Delivery of Shipping Instructions) or seven (7) days (in the case of Late Delivery of Provisional Documents or Final Documents) from the day such performance is due.
