Prior to making any claim under Clause 16.1 (Service Provider Liability) or Clause 16.2 (Service Recipient Liability), each Party shall, and shall procure that each relevant member of their respective Groups shall, use Commercially Reasonable Efforts to avoid or mitigate any Liabilities for which such Person intends to seek indemnification.
Subject to paragraph (b), the total aggregate liability of a party for any and all Claims for Loss arising out of or in connection with this Agreement is limited: in the case of AEMO, to the AEMO Liability Cap (except for unpaid Charges) ; and in the case of SRAS Provider, to the SRAS Provider Liability Cap.
Section 10 (Confidentiality), Section 11 (Ownership of Information), 12.1 (Service Provider Liability), Section 15 (Insurance), subsection 17.3 (Obligations on Termination), Section 18 (Survival of Terms) and Section 19 (Independent Contractor) shall survive the termination or expiration of this Agreement.
To the knowledge of the Purchaser, none of the Provider Liability that arose prior to November 2, 2015 remains outstanding as of the date of this Agreement and the Closing Date.
Provider Liability: The Provider shall be solely responsible for any and all personal injury, including death, or property damage as a result of the Provider’s actions, or inactions, including but not limited to, misconduct, negligence, or any future negligent act, involving any equipment or service provided under the terms and conditions, requirements and specifications of the agreement.

For the avoidance of any doubt, the calculation under the foregoing clause (ii)(A) shall, solely for purpose of meeting such condition, be based on the actual Provider Liability as of such date without any reference to any earned but unpaid Management Fees.
