Provider-led entity or “PLE” means the Institute, which is an organization that is comprised primarily of providers or practitioners who, outside of the organization, predominantly provide direct patient care. This definition is intended to conform to 42 CFR Sec. 414.94(b), as the same may be amended or modified.

  • Controlled Entity means (i) any of the Subsidiaries of the Company and any of their or the Company’s respective Controlled Affiliates and (ii) if the Company has a parent company, such parent company and its Controlled Affiliates. As used in this definition, “Control” means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a Person, whether through the ownership of voting securities, by contract or otherwise.
