Except as specified in Schedule 3.11, (i) all such Permits are in full force and effect and (ii) ProTrader LP, ProTrader LLC and their Subsidiaries have, to the extent required, made all Filings necessary to request the timely renewal or issuance of all material Permits necessary prior to the Closing for it to own, operate, use and maintain its assets and to conduct its business as it is currently being conducted.
Such Tax Returns have accurately reflected in all material respects and, in the case of Returns to be filed, will accurately reflect in all material respects all liability for Taxes with respect to ProTrader LP, ProTrader LLC or their Subsidiaries and their respective businesses for the periods and Taxes covered thereby.
ProTrader LP, ProTrader LLC and their Subsidiaries hold all Permits necessary for the lawful conduct of their business.
