Prototype Products means Products that have been tested by Flextronics and meet substantially all of the Product Specifications and have been provided to INFOCUS for correlation and verification testing against agreed to Specifications.

Prototype Products or "Engineering Samples" means any products that have not passed all the stages of full production acceptance as determined solely by the Seller. The Seller will usually identify which of the Goods ordered are considered Prototype Products designating them "ES" on the Quotation and any Order for Prototype Products shall be subject to the special terms contained in this clause 5.

Prototype Products means the prototypes of the Reader and Loader described on EXHIBIT A to be manufactured by HITACHI.

• Prior to incorporating any such Adverum technology into Prototype Products beyond Vector Technology, the Parties shall discuss the terms of any expanded license and, if mutually agreed, amend this Agreement accordingly.

• For each order of Products by Joby Aero, Joby Aero shall submit a purchase order to TOYOTA in the form attached hereto as Exhibit B or such other form (in the case of Prototype Products, in the form of Schedule G to Exhibit G) as may be adopted during the Term by the mutual written agreement of the Parties, including by written agreement of each Party’s members of the Global Supply Team (each, a “Purchase Order”).

• For Prototype Products, the documentation will be limited to the documentation required in order to demonstrate compliance with the Prototype Specifications, which may not include service, instructions, user manuals or similar.

• The terms of an Exhibit A or statement of work for Development or Prototype Products shall govern in the case of a conflict with the terms of this Supply Agreement.

• El-Watch shall have the right to reject the Customer specification or requirements in the event that El-Watch deems such specifications and/or requirements to be unfit as basis for production of Prototype Products and to require the Customer to make the necessary corrections and changes to said specifications and requirements.

• NANOGEN shall purchase the Prototype Products from HITACHI subject to agreement on transfer price pursuant to Section 7.1.1. HITACHI shall manufacture and sell to NANOGEN, and NANOGEN shall purchase from HITACHI, such additional Prototype Products as the Parties may agree.

• All Prototype Products are provided “AS IS” unless otherwise agreed and El-Watch is only responsible for repair or remedy if the defect on non-performance is a direct result of lack of appropriate care or workmanship in the development or manufacture of the Prototype Products.
