Prototype Product definition

Prototype Product means an Editas genome editing product that includes a Viral Vector that is being tested by Editas during the Option Period for the applicable Indication, subject to Editas’ exclusivity obligation under Section 3.11. Any Prototype Product shall be deemed a Product after Editas exercises the Option with respect to the Indication applicable to such Product.

Prototype Product means an engineering version of a Product that is not a Commercial Product, capable of demonstrating size, weight, feel and some basic functionality (e.g., the ability to place/receive voice telephony calls, of the final Product). Prototype Products are not necessarily produced with production tooling nor do they necessarily have final production software. Prototype Products are built in limited volumes, primarily for engineering design validation purposes, and may include Alpha (first generation) and Beta versions..

  • Customer may request priority support for validation of a new Product on an existing Production Line or at Novati’s sole option, for Prototype Product or Engineering Sample Product.

  • In order to enable Developer to commence development and distribution of Developer's Product incorporating the Executable Files under the terms of this Agreement, Echelon has agreed to provide Developer with a prototype version of Echelon's LonManager NSS for Windows (the "Prototype Product") on a temporary basis.

  • To the extent required under the applicable Project Agreement, LBS will train the Designated Laboratory(s)in the use of the Prototype Product or Analytically Validated Product, including but not limited to the scoring methodology.

  • Developer acknowledges that the LonManager NSS for Windows Licensed Software may be different than the Prototype Product provided hereunder.

  • El-Watch shall, under its sole discretion, decide whether any changes to the Prototype Specifications requires renegotiations of the price to be paid by the Customer for the Prototype Product or further development of the Prototype Product.
