Protected Group definition

Protected Group means those classes or groups of persons specified in and protected by either applicable state or federal antidiscrimination laws, except that, for affirmative action purposes, the limitations set forth in Section 46a-61 of the Connecticut General Statutes shall apply;
Protected Group shall be defined as follows:
Protected Group means the Company and its shareholders, and any of their respective subsidiaries, affiliates, shareholders, partners, directors, officers, employees and agents.

  • No member of the Protected Group shall be a third party beneficiary of this Section 9.9(a).

  • To the fullest extent provided by law, Buyer agrees to indemnify and hold Seller and the Protected Group harmless from and against all claims, damages, liabilities, obligations, costs, damages, injuries, losses and expenses arising (i) out of the Buyer's inspection of the Property prior to or as of the Closing Date, or (ii) after the Closing Date as a result of the condition, operation or management of the Property attributable to Buyer's acts or omissions.

  • Except as provided in Section 7.3 or Section 11, Buyer acknowledges and agrees that Seller and the Protected Group shall have no duty to disclose to Buyer any information known to them, or any of them, concerning the condition of the Property, defects in the Property, failure of the Property to comply with plans, specifications, building codes, life safety codes, safety laws, hazardous materials, environmental laws or any other laws or codes or construction standards affecting the Property.

  • Buyer agrees that Buyer has no legal or equitable remedy or recourse against Seller and the Protected Group, with respect to any inaccuracies or errors contained in any such report or arising out of any Property defect, or other adverse condition of the Property, whether known or unknown to or concealed or unconcealed by them or any of them.

  • All employee personnel matters will be conducted without regard to an employee’s inclusion in a Protected Group (see “Introductory Note and Definitions)”, and with proper regard and protection of employee constitutional and/or civil rights.

  • Upon termination of Executive's employment for any reason, Executive agrees to execute a release of all claims against the Company and its shareholders, and any of their respective subsidiaries, affiliates, shareholders, partners, directors, officers, employees and agents (the "Protected Group"), substantially in the form attached hereto as Exhibit C.

  • The Employer and Union agree not to discriminate against any employee on the basis of their inclusion in a Protected Group (see “Introductory Note and Definitions”).

  • Thereafter, Executive may correct such breach or threatened breach to the reasonable satisfaction of the Bank; provided that if Executive fails to correct such breach or threatened breach within such two-day period, nothing contained herein shall preclude or delay the ability of the Protected Group to seek a temporary restraining order hereunder.

  • Buyer acknowledges and agrees that Seller and the Protected Group shall have no duty to disclose to Buyer any information known to them, or any of them, concerning the condition of the Property, defects in the Property, failure of the Property to comply with plans, specifications, building codes, life safety codes, safety laws, hazardous materials, environmental laws or any other laws or codes or construction standards affecting the Property.

  • Executive agrees that a “prospective customer or depositor” shall be an individual or entity identified by the Protected Group and with respect to whom the Protected Group has taken substantial actions towards the solicitation of Banking Business (as defined below).
