Proprietary Technical Materials definition

Proprietary Technical Materials means all writings, documentation, manuals, instructions, correspondence, software or other data relating to the Proprietary Information (other than such that are prepared for internal purposes of SOUTHWALL or LICENSEE, as the case may be).
Proprietary Technical Materials means all writings including documentation, manuals, instructions, correspondence or other data relating to the products or the Proprietary Information. All Proprietary Information and Proprietary Technical Material provided by or attributable to Southwall under this Agreement was the property of and are proprietary to Southwall. Except to the extent Buyer uses or sells a product hereunder (which use or sale shall not include any duplication thereof) which incorporates any Proprietary Information, Buyer shall not copy or reproduce or transfer, assign, sub-license, loan, disclose or otherwise make available all or any Proprietary Information to any person or other entity without the prior written consent of Southwall to the specific act to be taken. Any and all Proprietary Technical Materials which Southwall may furnish shall be in Buyer's possession pursuant only to a restrictive non-transferable, non-exclusive license under which Buyer may use such Proprietary Technical Materials solely for the purpose of installing, using, servicing and repairing the products and for no other purpose.
Proprietary Technical Materials means all writings, including documentation, the Guidelines, instructions, correspondence or other data relating to the Product, XIR® Laminated Glass Units, or Proprietary Information save and except such already incorporated into or merged with the products or semi-products of the Licensee.

Examples of Proprietary Technical Materials in a sentence

  • Any sublicense granted by Distributor to a sublicense hereunder shall also terminate and such sublicense shall cease to use and return the Proprietary Technical Materials.

  • Distributor is authorized to grant restrictive, nonexclusive, nontransferable sublicenses to customers to use the Proprietary Technical Materials or any portion thereof, provided that each such customer (sublicensee) enters into an agreement with Distributor pursuant to which the sublicensee expressly accepts and agrees to the terms and conditions of the license set forth in the Acknowledgment.

  • DISTRIBUTOR agrees to maintain the confidentially of all Proprietary Technical Materials and to instruct and obligate its employees and agents to do the same.

  • Documentation, maintenance manuals and drawings relating to the Equipment or the Programs (collectively, "Proprietary Technical Material") that COMPANY may furnish shall be in DISTRIBUTOR's or customer's possession pursuant only to a restrictive, nonexclusive license under which DISTRIBUTOR or customer may use such Proprietary Technical Materials solely for the purpose of operating, servicing and repairing the Equipment and the Programs and for no other purpose.

  • Without limiting the generality of the foregoing, DISTRIBUTOR may not reproduce or copy any Proprietary Technical Material or transfer, assign, sublicense, loan, disclose or otherwise make available all or any portion of such Proprietary Technical Materials to any other person or entity, without prior express written consent of COMPANY.

  • Title to and ownership of the Proprietary Technical Materials shall at all time remain in COMPANY.

  • The license granted in Section 2 with respect to the Trademarks, Patents and Proprietary Technical Materials is limited to the period in which SOUTHWALL uses such materials.

  • All Proprietary Information and Proprietary Technical Materials provided by or attributable to SOUTHWALL are the property of and are proprietary to SOUTHWALL.

  • For such purpose, SOUTHWALL undertakes to use commercially reasonable efforts to furnish to LICENSEE available, up-to-date Proprietary Technical Materials related to the sales, promotion and installation of the Product.

  • Each party shall use the Proprietary Information and Proprietary Technical Materials of the other party only as expressly allowed in this Agreement.
