Proprietary Research Tool definition
Proprietary Research Tool means a Research Tools(a) existing as of the Effective Date and listed on Exhibit C, and (b) any future Research Tool used to discover or develop Patent Products and which Company elects to designate as a Proprietary Research Tool pursuant to Section 2.4.
