Proprietary Knowledge definition

Proprietary Knowledge means all digital and tangible proprietary information and materials, including the Confidential Information, owned or used under license by HHC, including and/or incorporating the HHC Training Course and Training Materials, HHCIC materials or postings accessed or obtained from or viewed in the “Healthy Hands Cooking FB Instructor Community”, and any and all materials provided for or used in any HHC class, demonstration, camp, party or other event that uses, displays, contains, or is based upon any portion of HHC IP; in full or in part.
Proprietary Knowledge means all technical and/or scientific information and knowledge and/or any other type of information, in any form whatsoever, whether or not protectable by intellectual property right including, but not limited to, expertise, trade secrets, business secrets, data, databases, Software (in particular Basic Software), files, plans, diagrams, drawings, formulas or any other kind of information, in any form whatsoever, along with all resulting rights, necessary or potentially necessary to perform the Project, that each Partner may hold before the Effective Date, and/or develop or obtain, individually or with third parties, but without the Contribution of the other Parties, during the Project but independently of it, as may be proven, and that each Partner agrees to provide to the other Partners for the purposes of this Agreement. Proprietary Knowledge is listed in the appendix to this Agreement, entitled “Proprietary Knowledge”. This list shall be updated regularly by decision of the Steering Committee [taken unanimously] OR [according to usual voting rules] when Proprietary Knowledge is created.] Coordinator means a Partner in charge of the scientific and technical coordination of the Project, whose tasks are listed in this Agreement,
Proprietary Knowledge means any fact or information of any kind whatsoever relating to the Products that are the subject of the Contractual Relationship, irrespective of the medium or form, including strategic information, information on technical developments, data, documents, experience, know-how, methods, tooling designs, processes, specific components or software, whether or not this can be protected under Intellectual Property Rights, that is in the possession of either party prior to the effective date of the Contractual Relationship or that either party may obtain after this date other than as a result of the Contractual Relationship.

Examples of Proprietary Knowledge in a sentence

  • Communication of Proprietary Knowledge to other Parties shall not be construed as a transfer of ownership.

  • Each Party shall retain full ownership of its Proprietary Knowledge.

  • Each Party shall also own any changes that it itself makes to its Proprietary Knowledge.

  • For the fulfilment of the Project and for that purpose alone, each Party grants to each of the other Parties a non-exclusive, non-assignable right, without a licence and without financial consideration, to use its Proprietary Knowledge, insofar as such Proprietary Knowledge is strictly necessary for the performance of the Agreement.

  • Each Party undertakes not to publish, in any manner whatsoever, the Proprietary Knowledge of the other Parties of which it may have knowledge, as long as such information is not in the public domain or that Party has not received the prior consent of the Party that owns the Proprietary Knowledge.

  • This Proprietary Knowledge shall be communicated by the Owning Party at the express request of the other Party and shall be treated as Confidential Information in accordance with Clause 8 below.

  • The Proprietary Knowledge or Results and/or other information communicated by one of the Parties to any other Party in the performance of the Agreement shall be communicated "as is" without any guarantee of any kind.

  • Instructor represents and warrants that s/he has completed the official HHC Certified instructor Training Course, has received a passing score, is current on all Fees, and desires to become a Certified Instructor and an HHCIC member, and to make use of the HHC IP and Proprietary Knowledge in accordance with this Agreement.

  • Instructor must not copy, duplicate, sell, translate, distribute, upload, stream or otherwise disseminate any HHC materials, such as welcome kits, or their contents; training manuals; recipes, nutrition games, CDs and DVDs. In the event of termination or cancellation of this Agreement, Instructor must return all Licensed Property, including HHC IP and Proprietary Knowledge, in its entirety to HHC, or delete or destroy all such items.


More Definitions of Proprietary Knowledge

Proprietary Knowledge means any kind of information, knowledge, procedures, technologies, including know-how, software, biological material, drawings, chemicals and/or all other types of information, regardless of the medium in which they are stored, as well as all related rights, which belong to one Party or which were in a Party’s possession prior to the effective date of this contract and/or developed or acquired by one Party independently from the performance of this contract. Results: means any kind of information, knowledge, procedures, technologies, including know-how, software, biological material, drawings, chemicals and/or all other types of information, regardless of the medium in which they are stored, as well as all related rights, obtained or developed by the Parties in connection with this contract.
Proprietary Knowledge means all information, content, data, knowledge or other assets (including information, concepts, know-how, tools, algorithms, etc.), of any kind whatsoever, pre-existing or created independently of the Agreement by a Party and used by it for the performance of the Projects and/or made available to the other Party for the performance of the Project in connection with the performance of the Agreement, as well as any update, refreshment, correction, modification, improvement and enhancement of a Party’s Proprietary Knowledge. The MOSAIC Window Resources, as well as any of their update, refreshment, correction, modification, improvement and enhancement of are Proprietary Knowledge of Owkin.
Proprietary Knowledge means any knowledge held or developed by a Party prior to the effective date of the Agreement or acquired in parallel with the Study of any nature and in any form whatsoever, including technical and/or scientific knowledge, experience, know-how, patent, method, tool, process, specific component, biological material, software, whether or not protected or protectable by an intellectual property right and/or title.

Related to Proprietary Knowledge

  • Proprietary means goods or services of a specialized nature, that may be made or marketed by a person or persons having the exclusive right to make or sell them, when the need for such goods or services has been certified in writing by the Board to be necessary for the conduct of its affairs.

  • Best Knowledge means both what a Person knew as well as what the Person should have known had the Person exercised reasonable diligence. When used with respect to a Person other than a natural person, the term "Best Knowledge" shall include matters that are known to the directors and officers of the Person.

  • Knowledge means actual knowledge after reasonable investigation.

  • Confidential and Proprietary Information means any and all information not in the public domain, in any form, emanating from or relating to the Company and its subsidiaries and affiliates, including, but not limited to, trade secrets, technical information, costs, designs, drawings, processes, systems, methods of operation and procedures, formulae, test data, know-how, improvements, price lists, financial data, code books, invoices and other financial statements, computer programs, discs and printouts, sketches, and plans (engineering, architectural or otherwise), customer list, telephone numbers, names, addresses, information about equipment and processes (including specifications and operating manuals), or any other complication of information written or unwritten that is used in the business of the Company or any subsidiary or affiliate that gives the Company or any subsidiary of affiliate any opportunity to obtain an advantage over competitors of the Company who do not know or use such information. Employee agrees and acknowledges that all Confidential and Proprietary Information, in any form, and all copies and extracts thereof, is and are shall remain the sole and exclusive property of the Company and, upon termination of his employment with the Company, Employee hereby agrees to return to the Company the originals and all copies of any Confidential and Proprietary Information provided to or acquired by Employee during the period of his employment. Except as ordered by a court of competent jurisdiction, Employee expressly agrees never to disclose to any person (except to other Company employees, and then only on a "need to know" bases) or entity any Confidential an Proprietary Information either during the term of this Agreement or at any time after termination of his employment, except with the express written authorization and consent of the Company.

  • Proprietary Information shall have the same meaning as Confidential Information.
