Proprietary Item means Goods, Services or Works, which have unique characteristics which alone meet the required realistic performance Specification
Proprietary Item or "proprietary service" means those items or personal property or those services of any nature that can be supplied by only one contractor because of the singular characteristics of the item or service.
Proprietary Item. Proprietary Item" shall mean the Software (including the object code and source code for the Software), the Documentation, the ideas, methods, algorithms, formulae and concepts used in developing and/or incorporated in the Software or Documentation, including, but not limited to, the visual expressions and other design features of the Software, and all revisions, modifications, refinements, releases, versions, enhancements and improvements of the Software or Documentation, but shall exclude Discloseable Items.

  • The Company shall comply with all applicable export and re-export restrictions and regulations of the U.S. Department of Commerce or other U.S. agency or authority and the Company may not transfer a Proprietary Item in violation of any such restrictions and regulations.

  • Proprietary Data means Data embodying trade secrets developed at private expense or commercial or financial information that is privileged or confidential, and that includes a restrictive notice, unless the Data is: a. known or available from other sources without restriction; b. known, possessed, or developed independently, and without reference to the Proprietary Data; c. made available by the owners to others without restriction; or d. required by law or court order to be disclosed.

  • Proprietary Interest means any legal, equitable or other ownership, whether through stock holding or otherwise, of an interest in a business, firm or entity; provided, that ownership of less than 5% of any class of equity interest in a publicly held company shall not be deemed a Proprietary Interest.
