Proprietary Documentation definition

Proprietary Documentation means any drawing or document, in either man-readable or machine-readable form, or any tangible thing which is the property of the Parties, including without limitation all price lists, discount sheets, customer lists, supplier lists, quotations, analytical data, market data, engineering data, drawings, computer software, manuals, specifications, standards, designs, methods, procedures, techniques, formulations, instruments, and other business and technical information in tangible form which are the property of either of the Parties.
Proprietary Documentation means any user manuals, training materials, installation, repair or maintenance manuals, drawings, schematics or any related documents provided by S-A to the Buyer.
Proprietary Documentation means those written or electronic materials created by the Company or its Subsidiary and still in existence that explain Proprietary Software or were used by the Company or its Subsidiary in the development of Proprietary Software or represent an interim step in the development by the Company or its Subsidiary of Proprietary Software, including any existing logic diagrams, flowcharts, procedural diagrams, error reports, manuals and training materials.

  • Supplier Proprietary Documentation shall be and shall remain the exclusive property of Supplier, and Supplier Third Party Documentation shall be and remain, the exclusive property of licensors to Supplier.

  • Grant will, during the term of this Agreement, provide Licensee with access to Proprietary Documentation relating to Grant Technology and Grant Patents.

  • Further, Licensee agrees to follow all procedures established by Grant and applied generally to all licensees, concerning the maintenance and inventory of manuals, drawings, other Proprietary Documentation, and Gauges of Grant and further agrees that repair or replacement of abused damaged or lost manuals, drawings, and Gauges will be charged to Licensee, normal wear and tear excepted.

  • Licensee agrees to promptly return all Proprietary Documentation, including all copies and abridgments thereof, to Tenaris upon termination of this Agreement.

Related to Proprietary Documentation

  • Proprietary Materials means tangible chemical, biological or physical materials that are furnished by or on behalf of one Party to the other Party in connection with this Agreement, whether or not specifically designated as proprietary by the transferring Party.

  • Proprietary Information and Technology means any and all of the following: works of authorship, computer programs, source code and executable code, whether embodied in software, firmware or otherwise, assemblers, applets, compilers, user interfaces, application programming interfaces, protocols, architectures, documentation, annotations, comments, designs, files, records, schematics, test methodologies, test vectors, emulation and simulation tools and reports, hardware development tools, models, tooling, prototypes, breadboards and other devices, data, data structures, databases, data compilations and collections, inventions (whether or not patentable), invention disclosures, discoveries, improvements, technology, proprietary and confidential ideas and information, know-how and information maintained as trade secrets, tools, concepts, techniques, methods, processes, formulae, patterns, algorithms and specifications, customer lists and supplier lists and any and all instantiations or embodiments of the foregoing or any Intellectual Property Rights in any form and embodied in any media.

  • DMA Customer Documentation means the agreements (together with any applicable schedules, exhibits or appendices thereto required by BSEF) in form and substance acceptable to BSEF, that are required to be executed and delivered to BSEF before a DMA Customer may access the SEF Platform. Except as otherwise provided in these Rules, in the event of any conflict between these Rules and the DMA Customer Documentation, these Rules shall govern.

  • User Documentation means that documentation regarding the operation, guidelines and features and functionality of Clover Insights that is made available to you from time to time at the website, by internet link or otherwise. User Documentation may be modified from time to time by First Data or its third party provider(s).

  • Confidentiality Agreements has the meaning set forth in Section 6.7.
