Proprietary Developments definition

Proprietary Developments means all tangible and intangible things produced, developed, conceived or invented by Supplier either independently or jointly with others in connection with performance of its obligations under the Purchase Order, including but not limited to technical documents, data and information, including all kinds of technology, ideas, apparatus, compositions of matter, concepts, drawings, inventions, formulas, designs, specifications, patterns, prototypes, samples, color schemes, expressive works, technology, software, computer programs, codes, know-how, techniques, algorithms, processes, procedures, methods, engineering data, user interfaces, “look and feel”, xml feeds data, names, logs, charts, tracings, calculations, together with copies of the same, whether patented or patentable, registered or registrable, copyrighted or copyrightable or otherwise publicly protected or protectable, in each case irrespective of the format of or medium on which the tangible or intangible thing is located.
Proprietary Developments means: inventions and discoveries (whether or not patentable), designs, works of authorship, mask works, improvements, innovations, data compilations, unique business methods or processes, treatments, formulas, and computer programs and software; that are conceived or made by the Executive alone or with others while employed by the Company and that relate to the research and development or the business of the Company, or that result from work performed by the Executive for the Company, or that are developed, in whole or in part, using the Company equipment, supplies, facilities, time, trade secrets or Confidential Information. ​

  • The Company’s obligation to vest the Stock Option under this paragraph is subject to the condition that the Employee shall have executed a current Agreement Regarding Confidential Information and Proprietary Developments (“ARCIPD”) that is satisfactory to the Company, and shall not engage in any conduct that creates a conflict of interest in the opinion of the Company.

  • I further agree that, both during and after my employment with any company in the Intel Group, I will provide all assistance reasonably requested by Employer at Employer’s (or its designee’s) reasonable expense, to secure and enforce its rights throughout the world with respect to the Intel Proprietary Developments.

  • I acknowledge and agree that Employer or such other entity within the Intel Group that Employer designates has and shall for all time have sole legal and equitable title to all Intel Proprietary Developments.

  • To be clear, the license to Preexisting Employee Intellectual Property excludes Proprietary Developments as defined in section 4, or Preexisting Employee Intellectual Property identified as required above in Appendix A at the time of my execution of this Agreement and submitted directly by me to Intel Legal such that it is actually received by Intel Legal within five working days of my hiring.

  • Proprietary means goods or services of a specialized nature, that may be made or marketed by a person or persons having the exclusive right to make or sell them, when the need for such goods or services has been certified in writing by the Board to be necessary for the conduct of its affairs.

  • Proprietary Information and Technology means any and all of the following: works of authorship, computer programs, source code and executable code, whether embodied in software, firmware or otherwise, assemblers, applets, compilers, user interfaces, application programming interfaces, protocols, architectures, documentation, annotations, comments, designs, files, records, schematics, test methodologies, test vectors, emulation and simulation tools and reports, hardware development tools, models, tooling, prototypes, breadboards and other devices, data, data structures, databases, data compilations and collections, inventions (whether or not patentable), invention disclosures, discoveries, improvements, technology, proprietary and confidential ideas and information, know-how and information maintained as trade secrets, tools, concepts, techniques, methods, processes, formulae, patterns, algorithms and specifications, customer lists and supplier lists and any and all instantiations or embodiments of the foregoing or any Intellectual Property Rights in any form and embodied in any media.

  • Proprietary Information shall have the same meaning as Confidential Information.
