Property Marks definition

Property Marks means any Participating Property's trade names, trademarks, service marks, domain names and other visual representations thereof, including logos, designs, symbols, word marks, images, colors and color combinations, trade dress, characters and other publicity rights, or other indicia of ownership owned or used by such Participating Property.
Property Marks has the meaning ascribed to such term in the Purchase Agreement.
Property Marks means the trade names, trademarks, service marks, logos, copyrighted identifying materials, domain names and other forms of identification used to identify the Resort, Hotel or any of its facilities or operations, including the names “Rancho Las Palmas,” “Rancho Las Palmas Resort & Spa,” “Rancho Las Palmas County Club” and all variations thereof, and the names used to designate the restaurant and bar facilities within the Resort, but shall exclude the Marriott Trademarks (as defined in Section 1(b)). Seller makes no representation or warranty of any kind related to the Property Marks, including, without limitation, whether or not Purchaser will have the right to use any Property ▇▇▇▇ after Closing. In no event shall Seller assign to Purchaser any Contracts that Manager or its affiliates have entered into under its own name and/or with respect to all its hotels or a particular flag or segment of hotels (“Unassignable Contracts”). In addition, Seller makes no representation or warranty regarding any of the rights described in clause Section 1(a)(vi)(e), including, without limitation, whether such rights exist.

Examples of Property Marks in a sentence

  • Each Participating Chain and Participating Property shall own all right, title and interest, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights, in and to its respective Chain Marks or Property Marks.

  • As between Owner and Manager, rights to any web site for the Property, as well as graphics and materials posted on such web site (excluding all Intellectual Property Rights relating to the Property Marks and the Proprietary Property), shall be the Property of Owner and, to the extent that Manager hosts or contracts for such web site or its development, Manager shall make arrangements for such rights to inure to Owner.

  • Further, without limiting any representation, warranty or covenant of Seller expressly set forth herein, Buyer acknowledges that it has waived and hereby waives as a condition to Closing any further due diligence reviews, inspections or examinations with respect to the Membership Interests, Property, FF&E, Property Marks and Guest Data, including with respect to engineering, environmental, survey, financial, operational, regulatory and legal compliance matters.

  • As between Landlord and Tenant, with respect to such right and license, Tenant shall, during the Term, have the sole and exclusive right to determine its use of the Property Marks, including the form of presentation of the Property Marks in the operation of the Premises, all uses of the Property Marks in marketing, sales, advertising and promotional materials of the Premises, any goods or services relating to the Premises and any signage for the Premises.

  • Except for as set forth in Schedule 6.4, the Property Marks constitute all of the trademark and branding rights necessary for the Seller to conduct its respective businesses and operations at or in connection with the Property as currently being conducted.

  • In any event, ORBITZ agrees not to use the Chain Marks and Property Marks in any manner that could reasonably be expected to have an adverse impact on the goodwill attached to such marks.

  • In the event that any of the Property Marks and Content is owned by a particular Member and under the control, operation or administration of Customer during the Term ("Member Property Marks and Content"), Customer hereby permits Regatta Travel Solutions Inc.

  • Except for the express license rights granted in this Agreement, Customer retains all rights, title and interest in and to the Property Marks and Member Content, including all Intellectual Property Rights therein.

  • Subject to the conditions and on the terms contained in this Contract, on the Closing Date, Seller shall sell, convey and transfer to Buyer, and Buyer shall purchase from Seller, all of the Membership Interests in New Property Owner, which will own the Property, FF&E and Property Marks and which will co-own the Guest Data (subject to the Use Restrictions) at Closing (collectively, the “Purchased Assets”).

  • ORBITZ acknowledges that the Pegasus Marks, Chain Marks and Property Marks are owned by PEGASUS, the Participating Chains and the Participating Properties respectively and their use by ORBITZ in connection with this Agreement inures to the benefit of PEGASUS, the Participating Chains and the Participating Properties respectively.

Related to Property Marks

  • Licensed Property means the portion of the Software and the Documentation to which Customer has purchased a License as identified on an applicable Order. Licensed Property shall include any updates or upgrades to the Licensed Property that AvePoint may at its discretion deliver to Customer.

  • Property Agreements means all agreements, grants of easements and/or rights-of-way, reciprocal easement agreements, permits, declarations of covenants, conditions and restrictions, disposition and development agreements, planned unit development agreements, parking agreements, party wall agreements or other instruments affecting the Property, including, without limitation any agreements with Pad Owners, but not including any brokerage agreements, management agreements, service contracts, Space Leases or the Loan Documents.

  • Seller Marks has the meaning set forth in Section 6.4.

  • Intellectual Property Assets means all Intellectual Property that is owned by Seller and used in or necessary for the conduct of the Business as currently conducted.

  • Trade Names means trade names, brand marks, trade dress, brand names, logos and all other names and slogans or product goodwill for which no trademark registration has been obtained and for which no application is pending.
