The Trustee agrees and acknowledges that it will, concurrently with its receipt of the Underlying Notes and the execution and delivery by the Depositor of this Agreement, duly execute, authenticate and deliver to or upon the order of the Depositor, in exchange for the Underlying Notes and such other assets constituting the Trust Property, Certificates in authorized denominations evidencing beneficial ownership of the entire Trust Property, all in accordance with the terms and conditions of this Agreement.
