Properties SPAs definition
Properties SPAs means the Sale and Purchase Agreements to be executed by ZML and the Seller in relation to the transfer of the PRC Properties consistent with the terms hereof in form reasonably agreed by the Buyer and the Seller.

All costs and expenses (including the tax expenses payable to the relevant PRC government authorities by any parties to this Agreement) in connection with the transfer of titles of the PRC Properties and the registration of the Properties SPAs and other title documents of the PRC Properties in the relevant PRC government authorities shall be borne by both Seller and Buyer in accordance with Clause 7.5.4.
