Properly Nominated definition

Properly Nominated means in relation to a quantity of Gas in respect of an Hour, the Proper Nomination.
Properly Nominated has the meaning set out in Article 6.9.1.
Properly Nominated means a Nomination or Renomination by Xxxxxxx or by a third party on behalf of Xxxxxxx, for the taking of a Quantity of Exit Gas or the delivery of a Quantity of Entry Gas Reverse Flow, which is in accordance with Xxxxxxx’s rights under the Agreement and is made in the manner and within the time limits as set out in the Conditions.

Examples of Properly Nominated in a sentence

  • Each Properly Nominated DCQ shall be an amount which is neither greater than one hundred and five (105) percent nor less than ninety five (95) percent of the DCQ as per relevant eSPN.

  • The Shipper shall not off-take more Gas than the Properly Nominated Quantities of Transportation Capacity in respect of a given Day and which is otherwise permitted.

  • Acceptance of the nominations of quantities by the Transporter shall constitute firm and binding nominations of Properly Nominated quantities of Shipper Gas at the Entry Point.

  • Seller to respond to buyer by Friday confirming/modifying quantities nominated by Buyer (Properly Nominated Daily Contract Quantities – PNDCQ).

  • The Quantity of Entry Gas Reverse Flow Properly Nominated by Xxxxxxx will then be deemed to be equal to the Quantity of Entry Gas Reverse Flow that is accepted by BBL Company.

  • Art.11.03 If the necessities of a scheduled maintenance in any Contract Year would result in a reduction of the NGTU’s ability to provide Transmission Services, the NGTU may reduce or limit the Properly Nominated Quantity of shippers to a level at which it is able to provide Transmission Services and the NGTU shall specify the period during which such limit shall apply.

  • The Parties agree that the following operational tolerance will apply in respect of deliveries that fall short of, or exceed, the quantity Properly Nominated on any Day by up to [***] (“Daily Delivery Tolerance”) but not more than [***], so that if an under-delivery does not exceed the Daily Delivery Tolerance it shall be deemed to have been caused by Force Majeure; and if an over-delivery does not exceed the Daily Delivery Tolerance the Buyer shall be deemed to have Properly Nominated it.

  • Art.10.26 Where more than one shipper nominates Gas for delivery on any day at the same off-take point, the total quantity delivered at such off-take point on such day shall be pro-rated based on the Properly Nominated Quantity for delivery to each shipper at such off-take point.


More Definitions of Properly Nominated

Properly Nominated means a Nomination or Renomination by Shipper or by a third party on behalf of Shipper, for delivery of a Quantity of Entry Gas or the taking of a Quantity of Exit Gas, which is in accordance with Shipper’s rights under the Agreement and is made in the manner and within the time limits as set out in the Conditions.
Properly Nominated means (a) with respect to SD Gas, quantities of SD Gas properly nominated by SD in accordance with Article III of this Agreement, and (b) with respect to Legacy Plant Oxy CO2, quantities of Legacy Plant Oxy CO2 properly nominated by SD in accordance with Article IV of this Agreement.
Properly Nominated. GAS: Buyer must Properly Nominate any gas for which Buyer requests delivery. "Properly Nominate" means that Buyer's dispatcher shall give Seller's dispatcher timely prior notice, sufficient to meet the requirements of all pipelines, gatherers or distributors involved in the gas delivery to Buyer, of the volumes of gas Buyer desires to purchase and take on each day. Such notice shall be at least twenty-four hours prior to the earliest regularly scheduled nomination deadline of the pipelines/distributors receiving or delivering gas at the Delivery Point(s) for gas to be delivered commencing on the first day of a month, and one hour earlier than such deadline for any subsequent nomination. All gas taken hereunder shall be taken in as nearly equal daily and hourly quantities as operating conditions permit. Buyer shall not make intraday or late nominations of gas hereunder, unless Seller otherwise agrees.

  • Nomination means an offer by a Shipper to a Carrier of a stated quantity of Product for transportation from a specified origin(s) to a specified destination or destinations pursuant to the terms of this tariff.

  • Relevant Nominating Body means, in respect of a benchmark or screen rate (as applicable):

  • Nominations means the process by which the customer or the customer's agent notifies the Company of expected transportation quantities.

  • Nominated Company means a company selected by the Lenders’ Representative and proposed to the Authority for substituting the Concessionaire in accordance with the provisions of the Substitution Agreement;

  • Nominated Athlete means an Athlete who has been nominated to the NZOC by Swimming New Zealand.

  • Over-Riding Nomination Criteria means the criteria set out in clause 4.2.

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • Investor Nominee means a person designated for election to the Board of Directors by the Investor pursuant to the Investment Agreement.

  • Nomination Criteria means the criteria made up of the Over-Riding Nomination Criteria andthe Specific Nomination Factors, and is also referred to as “this Criteria”.

  • Incumbent Directors means directors who either (A) are directors of the Company as of the date hereof, or (B) are elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Incumbent Directors at the time of such election or nomination (but shall not include an individual whose election or nomination is in connection with an actual or threatened proxy contest relating to the election of directors to the Company); or

  • Incumbent Director means a director who either (i) is a member of the Board as of the Effective Date or (ii) is elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Incumbent Directors at the time of such election or nomination (but excluding a director who was elected or nominated in connection with an actual or threatened proxy contest relating to the election of directors of the Company).

  • Nominated Representative means, in respect of each party, the person whose details are set out in the Special Conditions (if any).

  • New Director means an individual whose election by the Board or nomination for election by the Company’s stockholders was approved by a vote of at least two-thirds of the directors then still in office who either were directors at the Date of Grant or whose election or nomination for election was previously so approved or recommended. However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.

  • Nominate “Nomination,” or “Nominated” shall mean an offer by Shipper to Carrier of a stated quantity of Product for transportation, from the specified Origin to the specified Destination pursuant to the terms of this Tariff (and/or any tariffs making reference hereto and incorporating this Tariff by reference therein).

  • Alternate Director means a person elected or appointed to serve, as the occasion requires, as a member of the board of a company in substitution for a particular elected or appointed director of that company;

  • Continuing Directors means, as of any date of determination, any member of the Board of Directors who (i) was a member of such Board of Directors on the date of the Agreement or (ii) was nominated for election or elected to such Board of Directors with the approval of a majority of the Continuing Directors who were members of such Board of Directors at the time of such nomination or election.

  • Lead Director means, at any given time, the lead, independent member (if any) elected as such by the Board and occupying such position.

  • Nomination Notice means all information and documents that a Nominating Stockholder is required to submit to the Secretary of the Corporation pursuant to Section 1.13(f).

  • Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;

  • Elected Director means a person elected as an elected director in accordance with these bylaws or elected or appointed as a replacement director for an elected director;

  • Nomination Committee means the nomination committee of the Board established in accordance with Article 116;

  • Designated Director means a person designated by the RE to ensure overall compliance with the obligations imposed under chapter IV of the PML Act and the Rules and shall include:

  • shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by him in a professional capacity; and

  • Active voter means a registered voter who has not been classified as an inactive

  • Nomination Period means a period of time that Customer includes in a nomination for gas service.

  • Independent Directors means the members of the Board of Directors who are not officers or employees of the Manager or any Person directly or indirectly controlling or controlled by the Manager, and who are otherwise “independent” in accordance with the NYSE’s corporate governance listing standards (or the rules of any other national securities exchange on which the Common Stock is listed).
