Project SPA means each project sale and purchase agreement by and between the Seller and the Buyer entered into in connection with the purchase and sale of the Equity Interests in a Target Company and its Holding Company substantially in the form attached hereto as Exhibit A (which is substantially in the same form as the project sale and purchase agreements negotiated between Buyer and Seller in anticipation of the TerraForm Global, Inc. initial public offering).

  • Notwithstanding anything to the contrary set forth herein, any cure rights and remedies available to either Party under this Agreement shall in no event be duplicative with those set forth in each applicable Project SPA.

  • No later than 5 Business Days after the determination of the fair market value by the Independent Expert and the satisfaction of the conditions precedent in Section 8.1 and upon delivery of the items set forth in Sections 3.1, 3.2, and 3.3, the Parties shall execute and deliver the applicable Project SPA with a purchase price reflecting the fair market value determined in accordance with Sections 3.4(b) or 3.4(c) (the “Final Transfer Price”).
