The Project Operating Budget shall be prepared by the Board and delivered to each Shareholder, annually not less than sixty (60) days (or such earlier period as may be required by the lenders under the Project Financing) prior to each Fiscal Year end.
The Project Operating Budget shall include all anticipated costs and expenses of operations including financing costs and principal and interest payments on Project loans, and shall specify sources and uses of funds including any equity capital contributions for anticipated operations deficits.
Expending, in any one line item category of either the Preliminary Cost Statement or the Project Operating Budget, more than the amount budgeted therefor in the Preliminary Cost Statement or the Project Operating Budget, as the case may be.
The reimbursements pursuant to Section 12.8(a) to the Manager and its Affiliates, will not exceed, the amounts budgeted therefor as set forth in the Preliminary Cost Statement or the Project Operating Budget, without the prior unanimous approval of the Board.

Without limiting the generality of the foregoing, Manager shall consult with the Advisory Committee on matters concerning the Project Operating Budget and operating and fuel plans, and shall seek review by the Advisory Committee of any Additional Contract which is required to be submitted to Lender for Lender's consent prior to making such submission.
To the extent within the reasonable control of Manager, all Operating Expenses incurred or authorized by Manager on behalf of Lessee hereunder shall be in accordance with the applicable Project Operating Budget, as such Operating Budget may be amended from time to time in accordance with the Transaction Documents.
The Executive Committee will promptly consider any proposed Annual Business Plan or amendment thereto, including the Operating Budget and each Project Operating Budget, and if the Annual Business Plan is not approved by the Executive Committee, the member or alternate member of the Executive Committee failing to approve the Annual Business Plan shall notify the Manager and the Members in writing of those portions or line items thereof not so approved.
Additional project management expenses excluded from the above fee but reasonable and specific to the management of the project are the item(s) which will be charged directly to the project as specified in Addendum A (attached) of the Project Operating Budget submitted annually to MaineHousing.
Except as otherwise expressly provided in this Agreement, a Project Operating Budget expressly approved (and not deemed to be approved under Section 4.3(c)(3) hereof) by the Members, or an approved Property Management Agreement, no compensatory payment shall be made by the Company or any Subsidiary to any Member or Manager for the services to the Company, any Subsidiary or any Project provided by such Member or Manager or any member or employee of such Member or Manager.
