Project Derivative definition

Project Derivative means any Derivative developed in connection with these PCS Sector Terms of any Project Deliverable (including any portion or components thereof).

Examples of Project Derivative in a sentence

  • SMRC will only consider licensing and or further distributing such Research Project Derivative if Research Licensee has identified, secured and submitted all assignments of all Research Licensee personnel, consultants and contractors who have modified or contributed to the Research Project Derivative.

  • If such Research Project Derivative is licensed by SMRC for consideration exceeding $5,000 cumulatively, SMRC and Research Licensee will meet and discuss royalty sharing between SMRC and Research Licensee.

  • Research Licensee will deliver a copy of the Research Project Derivative to SMRC along with the annual report due under this Agreement even if such Research Project Derivative is not finalized.

  • If Research Licensee creates a Research Project Derivative that is scientifically validated and deemed evidenced-based for which there is demand beyond the scope of the Research Project- SMRC and Research Licensee will meet and discuss in good faith plans for distribution, publication or dissemination of such Research Project Derivative beyond the scope of the Research Project.

  • Research Licensee hereby assigns all right title and interest to any Research Project Derivative and any derivatives of SMRC Content to SMRC.

  • For the avoidance of doubt, SMRC will own all right, title and interest in such Research Project Derivative.

  • Additionally, Research Licensee must deliver a full copy of Research Project Derivative, including all materials created no later than the termination date of this Agreement.
