Subject to the terms of this Agreement, the Ground Lease and the Capital Lease, the Developer agrees to design, develop and construct the Hotel, the Parking Facility and the Mixed-Use Building on the real estate depicted on the Site Plan, including the City Land and the Developer Land, by constructing the Project substantially in accordance with the Project Construction Plans.
The Developer shall complete the Project in conformity with the Project Construction Plans.
No later than thirty (30) days after approval of the Final Site Plan and other materials submitted pursuant to Paragraph 2.1.2 hereof, the Redeveloper shall submit to the City construction plans for the Project ("Construction Plans").

The Construction Manager shall be entitled to reasonably rely upon the accuracy and completeness of the information, testing and services provided by the District pursuant to Section 5.2. However, the Construction Manager shall not be entitled to rely upon any such information, testing or services, or on any Project Construction Plans, that, to a reasonable construction manager experienced in construction of school facilities in the State, are obviously inaccurate, incorrect or incomplete.
NEORSD will ensure that provisions for such protection will be clearly identified on Project Construction Plans.
The City agrees to cooperate with the Developer in the development of the Project and agrees not to unreasonably withhold its consent or agreement to modifications to the Project, the Project Construction Plans, the Site Plan or any matter related thereto.
Based on its review of Project Construction Plans or other conceptual plans discussed with the District and the Architect, the Construction Manager, prior to bidding of the Trade Contracts or General Contract, shall estimate the cost to construct the Project (“Estimated Construction Cost”).
