The term "Project CM" shall mean the specific University-approved CM individual named in this Agreement who is assigned to the Project, and is CM's designated principal or staff member, as the designated person in charge of providing all services required by this Agreement.
In the event that a federal or state grant or other federal or state financing is used in the funding of this Project, CM shall permit the funding agency or its designee access to, and grant the funding agency the right to examine documents covering the services performed under this Agreement.
Except in the event of the District’s failure to make payment of undisputed portions of the Contract Price due the CM for an Assigned Project, notwithstanding any disputes between District and CM arising hereunder or under a Task Order for an Assigned Project, CM shall continue to provide and perform services hereunder pending a subsequent resolution of such disputes.
Notwithstanding anything else to the contrary in this Agreement, if, in its sole discretion, CM is not satisfied with the projected economic return of the Project, CM is released from any and all obligations it may have under this Agreement.
If CM’s project manager leaves the Project, CM shall replace him or her within 24 hours (unless additional time is agreed upon by County) with a new, well-qualified project manager acceptable to County.
In addition, when at the Project, CM and its employees and agents shall comply with all the Owner’s personnel safety rules and all applicable conditions or requirements of any permit or authorization, order or directive issued by any court or governmental regulatory agency with jurisdiction over the Project.
If CM’s superintendent leaves the Project, CM shall replace him or her within 24 hours (unless additional time is agreed upon by County) with a new, well-qualified superintendent acceptable to County.
For the Program and Project, CM shall develop Project master schedules and milestone schedules, and review and approve Contractor project schedules and milestone schedules for the project per specifications, and shall report on same each month to District.
If UGAA accepts partial use and occupancy of the Project, CM shall prepare for UGAA’s approval a Certificate of Substantial Completion limited to that portion of the Work completed and ready for occupancy.
