Client shall test each Deliverable against the acceptance criteria in the Project Chapter.
Client shall (a) provide timely access to all information, assets, personnel, and systems reasonably required by Service Provider to perform the Services; (b) review and approve Deliverables or provide written, consolidated feedback within the periods specified in this Agreement; and (c) ensure its own hardware, software, hosting, and network environments meet specifications set forth in the Project Chapter.
Project fees and milestone amounts are set forth in the Project Chapter.
Service Provider shall perform the services described in the Project Chapter (“Services”) in a professional and workmanlike manner consistent with prevailing industry standards.
Unless otherwise specified in the Project Chapter, work under this Agreement shall officially begin upon the later of (i) receipt of required upfront payment, or (ii) written confirmation from Komitis Lab of project scheduling availability.
This Agreement, together with the Project Chapter and any Change Orders, constitutes the entire agreement between the Parties and supersedes all prior proposals, understandings, or agreements relating to its subject matter.
In the event of conflict, the following order shall govern: (a) Change Orders (most recent first); (b) Project Chapter; (c) this Agreement.
Service Provider warrants that Services will be performed in a professional manner consistent with generally accepted industry standards and that for thirty (30) days after final acceptance the Deliverables will materially conform to the specifications in the Project Chapter.
Unless otherwise stated in the Project Chapter, Client is entitled to up to three (3) rounds of revisions per Deliverable.
