Project Authorizations definition
Project Authorizations means all Licences, Orders and Other Rights (including environmental Licences) necessary for (A) the development, construction and/or mining operations of the Project, and/or (B) the commencement and/or ongoing operation of commercial production transactions in relation to the Project.
Project Authorizations means, collectively, the Authorizations necessary for the construction, operation, development, financing and management of the Project and the production, transportation, processing and sale of Product produced at the Project (including all Environmental Licenses) being, as of the date hereof, the Authorizations that are listed at Schedule M hereto and, after the date hereof, each Additional Project Authorization and any replacement of any thereof.
Project Authorizations means all Authorizations and Other Rights (including environmental Authorizations) necessary, at the applicable time, for executing mining activities in a determined mining stage in accordance with the Ecuadorian regulation.

The Borrower shall obtain, maintain in full force and effect and comply with all Environmental Licenses and Project Authorizations required to design, develop, construct, operate, maintain and monitor the Project in light of the status of the development, construction and operation of the Project, and shall refrain from amending, suspending, waiving or repudiating any portion of, an Environmental License that would result in a material breach, without prior written consent of Finance Parties.
More Definitions of Project Authorizations
Project Authorizations means all permits, authorizations, rights of way and licenses relating to the Project in favor of or held by Assignor which are necessary or appropriate to operate, utilize and maintain the Project, as each relates to the Project;
Project Authorizations means, as of the relevant date, collectively, the Authorizations then required for the design, equipment procuring, engineering, construction, commissioning, start- up, operation, maintenance, management and financing of the Project and the production, processing, transportation and sale of Product produced at the Project, including, the Authorizations listed in Schedule 14 hereto and any replacement of any thereof.
Project Authorizations means all Licences and Other Rights (including environmental Licences) necessary for (i) the development, construction an d / or mining operations of the Project, and/or (ii) the commencement and/or ongoing operation of commercial production transactions in relation to the Project . "Project Costs" means all capital expenditures incurred by the Seller for the purposes of the development, construction and operation of the Project, including escalation, contingencies, initial working capital, taxes, duties, expenditures for plant equipment, spares and other capital goods, inventory, capital expenditures required to maintain the Project at its design capacity ( including repairs and replacements funded by insurance proceeds ), interest during construction, financing fees and expenses and other development costs . "Project Property" means all of the property, assets, undertaking and rights in and relating to the Project, whether now owned or existing or hereafter acquired or arising, including but not limited to, Project Real Property, leases, rights of access or use, servitudes, usufructs, personal property accounts, instruments, chattel paper, deposit accounts, certificates of deposit, intangibles, goods ( including inventory, equipment and fixtures ), cash, cash equivalents, receivables, letter of credit rights, supporting obligations, claims, causes of action and other legal rights and investment property ; (iii) all products, proceeds ( including proceeds of proceeds ), rents and profits of the foregoing ; (iv) indebtedness owed to the Seller ; and (v) all books and records related to any of the foregoing . "Project Real Property" means all immovable properties constituting the surface areas within the Mining Areas together with any other immovable properties which are or may be accessed, used, or required and/or occupied for the purposes of the Project, including but not limited to the Mining Real Property, the Usufruct and Servitude Properties, the Tailings Facilities, and all buildings, structures, improvements, appurtenances and fixtures on the Mining Areas or attached thereto which are or may be accessed, used, required and/or occupied for the purposes of the Project (other than the property located at
