Program License Fees has the meaning set forth in Section 6.

Examples of Program License Fees in a sentence

  • To the extent that any such other taxes, levies, or charges or penalties and interest thereon are paid by Licensor, Licensee will reimburse Licensor on demand, and on the failure of Licensee to reimburse Licensor, Licensor will have available to it all of the remedies provided for herein with respect to unpaid Program License Fees as well as such other remedies as may be provided by law.

  • Either party will have the right, within 24 months after the end of a given Fiscal Year, to inspect the books and records of the other party in connection with the Program License Fees paid with respect to such Fiscal Year.

  • In the event that twenty-six (26) Current Films are not made available to Licensee pursuant to the immediately foregoing sentence by October 1, 2015, the parties shall review and discuss the Current Films which are available with respect to Avail Year 2, and in the further event that fewer than fifteen (15) Current Films are available for exhibition by Licensee for Avail Year 2, then the parties shall discuss in good faith a proportionate reduction of Included Program License Fees.

  • For purposes of calculating the Film ODRL License Fees and the Television Program License Fees for 4K ODRL Included Programs hereunder, a Customer’s access to the Standard Definition and/or High Definition version of a 4K Included Program pursuant to a 4K ODRL Customer Transaction will not constitute a separate ODRL Customer Transaction and will be included as part of the single 4K ODRL Customer Transaction for such 4K ODRL Included Program.

  • Each Additional Program in each such Avail Year shall be subject to the applicable Additional Program License Fees set forth in Section 4.1 below.

  • The Program License Fees payable with respect to ATV will continue as set forth in Section 10.1.2.

  • If at any time the amount of the VOD Per- Program License Fees earned hereunder exceeds the total Unrecouped MG Amount (“Overage”), Licensee shall pay such Overage within 30 days after last day of the month in which the VOD Customer Transaction giving rise to such Overage occurs.

  • In consideration of the licenses granted herein to SLM, SLM shall pay to CW the non-refundable, irrevocable amount of 25,000 shares of SLM stock (net of any local taxes, royalties or fees) in accordance with Schedule A, Part I, "Program License Fees".

  • If the aggregate total of all actual Per- Program License Fees due and payable for such Avail Year exceeds the amount of the Annual Minimum Fee, such excess amount is the “Overage.” Payment of Overages and other invoiced amounts shall be made in accordance with clause 12 of the Standard Terms and Conditions.

  • At the end of a fiscal year, the Venturers will calculate the degree of harm, if any, resulting from PEGI's exercise of the Veto Option for such fiscal year pursuant to Section 10.2.1.2 and the amount owing from PEGI to the Venture with respect to such reduction in Program License Fees will be allocated first to offset accrued deferrals owing to PEGI and then to future payments due from the Venture to PEGI.
