If an accountant is used, said accountant shall not disclose to PROGENICS any information other than information relating to said reports, royalties, and payments.
BMS shall provide PROGENICS appropriate receipts of payment of such withholding taxes or other proof thereof.
No consent or approval of PROGENICS shall be required in connection with the granting of such sublicenses.
Such payments shall be free of any taxes, charges, or remittance fees, except for income tax levied upon or required to be withheld and paid by BMS, its Affiliates or its Sub-sublicensees for the account of PROGENICS.

At the request and expense of PROGENICS, BMS and its Affiliates and Sub-sublicensees shall permit PROGENICS or an independent, certified public accountant appointed by PROGENICS and reasonably acceptable to BMS, at reasonable times and upon reasonable notice, to examine those records as may be necessary to: (i) determine the correctness of any report or payment made under this Agreement; or (ii) obtain all information as to Net Sales and the royalties payable for any calendar quarter.
PROGENICS shall bear the full cost of the performance of any such audit except as hereinafter set forth.
During the term hereof, PROGENICS will manufacture and sell to DUPONT, and DUPONT shall purchase from PROGENICS, all of DUPONT's requirements for resale of recombinant HIV-1LAI gp120 (full length) produced in a CHO expression system (the "Product") for DUPONT's marketing, distribution and resale throughout the world.
PROGENICS will, if promptly requested in writing to do so, and subject to the other conditions and limitations of this Section, defend any such lawsuit.
