  • The Client shall irrevocably appoint PROFITECH as the authorized representative to execute any actions and sign any deeds, documents, or other items that the Client has promised in this Agreement the execution or signing but has failed to complete the foregoing upon the demands of PROFITECH.

  • This Agreement, all the rights, liabilities, obligations under this Agreement, and all the transactions contemplated hereunder are legally binding and enure for the benefits of PROFITECH, the successors and assigns of PROFITECH (no matter through combination, merger or other ways to become successors or assigns), and also the Client and its the inheritors, will executors, will administrators, devisees, successors or assigns.

  • In such case, PROFITECH will notify the Client when PROFITECH becomes aware of such proceedings, unless prohibited by applicable Laws and Regulations.

  • Any notification, report, notice, or communication in the foregoing sent by PROFITECH shall be deemed as received by and legally binding to all the joint account holders.

  • You shall accept all the risks in relation to this item and irrevocably exempt PROFITECH from the liabilities incurred by such orders, whether the liabilities are accepted by PROFITECH or not.

  • All the foregoing operations shall be conducted at any time when PROFITECH requires (even the payment and/or delivery are required to be effected prior to the settlement day) and the Client shall take all necessary actions for purposes of making proper settlement and/or delivery of the buy and sell in line with laws and rules of the Regulators.

  • For instance, when PROFITECH fails to clear off the debts when PROFITECH holds any securities or other properties, then the Client may delay seriously in collecting money, securities, or other properties.

  • The Client shall understand and accept that in spite of any contrary provision in this Agreement, any change of any data shall become effective five days after the proper receipt of the notification by PROFITECH or relatively a shorter period of time as agreed by PROFITECH in writing.

  • Should any change to the foregoing information, the Client must notify PROFITECH immediately.

  • Should the Notification not be properly received, the Client shall consult PROFITECH immediately and take back the Notification.
