Professionals’ Files definition

Professionals’ Files means all of the books, files, documents, and records of attorneys, accountants, and investment bankers relating to their respective representations of Seller Parties or the Company in connection with negotiating, executing, and delivering this Agreement or the other Transaction Documents, or otherwise in connection with the Transactions.

Examples of Professionals’ Files in a sentence

  • Buyer will not access or use the Professionals’ Files for any purpose whatsoever and upon request will execute such instruments and take such actions as may be requested to transfer the Professionals’ Files to Seller.

  • This Section 9.10 is subject to Section 9.3(b) in that nothing in this Section 9.10 will adversely affect Seller’s ownership of, or the prohibition on Buyer’s right to review, access, or obtain copies of, the Professionals’ Files.

  • Notwithstanding Section 9.3(a), the Professionals’ Files will belong solely to Seller, and neither Buyer nor, after Closing, the Company will have any right to review, access, or obtain copies of the Professionals’ Files.

  • Effective automatically upon consummation of the Transactions, the Company hereby waives all rights each may have with respect to any Professionals’ Files.
