Professional Service Providers definition

Professional Service Providers has the meaning set forth in Section 4.13(a)(xix).
Professional Service Providers. (PSP) means the service providers that are registered with Local Expert who are willing to provide tenders, quotes and bid for RFS posted by Customer.

Examples of Professional Service Providers in a sentence

  • Notwithstanding the foregoing, in the event the transaction contemplated by this Agreement does not close, payment of the fees and costs of the Professional Service Providers of the Company will remain the sole obligation of the Company.

  • If such CAB District engages a Professional Service Provider for legal and/or accounting services that are not similar in scope and cost to (or are in excess of) such CAB District’s share of legal and/or accounting services set forth in the Final Budget, the costs for such Professional Service Provider(s) shall be borne solely by such CAB District.

  • The Company is not and at Closing shall not be, obligated to make any payments to Professional Service Providers related to the Merger other than as set forth on Company Disclosure Schedule 4.14(a)(xix) or as approved by Parent.

  • As applicable, Client will abide by the terms and conditions set by Professional Service Providers which may involve fees for service.

  • The Company is not and at Closing shall not be, obligated to make any payments to Professional Service Providers related to the Transaction, the wind down and liquidation of the Business or otherwise other than as set forth on Company Disclosure Schedule 4.14(a)(xix) or as approved by Newco.

  • Parties will indemnify and hold harmless and pay attorney’s fees for Brokers from breach of contract, any negligent or intentional acts or omissions by any Parties, Inspectors, Professional, Service Providers, Contractors, etc.

  • If and when possible, IG will pull in additional resources from its extended network (which may include Professional Service Providers) to assist the Client.
