  • The Professional Fees Certificate shall include wire transfer or other payment instructions for each of the professionals listed on the Certificate.

  • The total amount due to such parties as reflected on such Certificate is referred to herein as the "Professional Fees." The Professional Fees Certificate shall include all charges incurred to the date of such Certificate which have not been paid and a good faith projection of all charges through and including the Closing and shall state that the Company has no further payment obligations to the professionals listed on such Certificate in connection with the transactions contemplated by this Agreement.
