Products IP definition

Products IP means all of Seller’s right, title and interest to the Intellectual Property in existence as of immediately prior to the Closing, to the extent owned by Seller and Related to the Business or otherwise set forth on Schedule 1.2, including the right to receive any royalties, rights to sue and recover damages for past, present and future infringement, dilution, misappropriation, violation, unlawful imitation or breach of such Intellectual Property, including all rights of priority and protection of interests in such Intellectual Property.
Products IP means the MPAG Products Know-How and the MPAG Products Patents.
Products IP the Intellectual Property contained in, implemented by or relating to the Products, including but not limited to that listed in Schedule 2;

Examples of Products IP in a sentence

  • Nothing in the Contract shall in any way transfer to any Supplier and no Supplier shall have rights in or to use (other than solely for the performance of its obligations in accordance with the Contract) any IP owned or licensed by any LYBGC or LYBGC affiliates (including the Products IP) (“LYB IP”).

  • Except as set forth on Schedule 4.07(a)(iii), no funding or resources of any Governmental Authority or research or educational institution were used to develop any part of the Products IP.

  • The Products IP constitutes all of the Intellectual Property that is Business IP.

  • Seller is not bound by, and no Products IP is subject to, any contract, agreement, commitment, understanding or instrument containing any covenant or other provision that in any way limits or restricts the ability of Seller to use, exploit, assert or enforce any Products IP.

  • The CNT Products IP constitutes all of the Intellectual Property rights owned or licensed by Unidym that relate to the production of CNT Products from CNT for use in the LCD Field.

  • Except as set forth in Section 2.16(b) of the Seller Disclosure Schedule, no Key Products IP Rights is subject to any outstanding decree, order, injunction, judgment or ruling restricting the use of such Intellectual Property Right or that would impair the validity or enforceability of such Intellectual Property Right.

  • Except as set forth in Section 2.16(b) of the Seller Disclosure Schedule, no Person has asserted by way of declaratory action, invalidation action, nullity action, revocation action, opposition, reexamination or otherwise that the Key Products IP Rights is invalid and/or unenforceable.

  • As of the date hereof, no, director, officer or other Affiliate of the Seller or any of its Subsidiaries or any of such Person’s Affiliates, or any entity in which any such Person has a direct or indirect material interest, (a) has any right, title, or interest in any Key Products IP Rights or (b) is party to or bound by any Purchased Contract.

  • To the extent that, by operation of law, Seller owns any of the Products IP, Seller hereby assigns to Buyer all its right, title, and interest, including all patent and copyright rights in the Products IP.
