Notwithstanding Section 11.1.3.2, for any CoDev Product Compound Specific Patent that is filed prior to the PIRS CoDev Option Exercise Effective Date and that is solely owned by SGEN as of such date, SGEN shall not be obligated to assign half of its interest in such Patent to PIRS.

Neither Party shall disparage, defame, discredit, or negatively comment to Third Parties in any way about or concerning the Product, Compound, Lilly Product, or the other Party (including the other Party’s activities, operations or other products) nor permit its employees, officers or directors to do so, except as required by Applicable Law.
For avoidance of doubt, as of the PIRS CoDev Option Exercise Effective Date any SGEN Compound Specific Patent that qualifies as a CoDev Product Compound Specific Patent shall become a CoDev Product Compound Specific Patent and shall be filed, prosecuted and maintained in accordance with Section 11.2.4 below.
Each of Celestial and BWTP agrees that it shall not conduct any clinical trials, file any regulatory approval for, use, manufacture, have manufactured, sell, offer for sale or import any Product, Compound or Backup Compound in any country outside the China Territory, nor shall it assist any Person (other than the Purchaser if the Purchaser so requests) in any such activity.
PIRS shall have the full and unrestricted right, but not the obligation, to bring and control an appropriate suit or other action against any person or entity under any Joint Patent or CoDev Product Compound Specific Patent directly relating to a CoDev Product in the Field in the PIRS Territory (“PIRS Infringement Action”), in its own name and entirely under its own direction and control.
As set forth in this Agreement, the royalties will be paid within [***] after the end of each calendar quarter period in which such royalties are earned during the Commercialization Period for each Beverage and Beverage Base incorporating a Product Compound.
For clarity, any such assignment by Amgen to Xencor of its ownership interest in or to any such Joint Invention Patents, is not intended to, and does not, confer upon Xencor any rights with respect to the development, manufacture or commercialization of a Discovery Program Compound or a Product containing a Discovery Product Compound.
The parties acknowledge that Senomyx will not use any Product Compound with any Third Party within the Field or in violation of this Agreement.
