Procured Materials definition

Procured Materials means Owner Procured Materials and Contractor Procured Materials, in the aggregate.
Procured Materials means the materials purchased by SCI to manufacture and/or deliver the Products for Intergraph under this Agreement, including the Initial Inventory. "Products" means the products identified on Exhibit A (which Intergraph represents and warrants is a complete and accurate ICS Product price list as of the Closing), and all products currently or in the future manufactured, assembled, purchased or sold by ICS, or traditionally included in ICS's Product price list, including without limitation products of ICS which from time to time are not included on the ICS Product price list. Notwithstanding the foregoing, the Parties agree that to the extent Intergraph or any of its Affiliates choose to source any products from ICS, ICS will cause its requirement for the products to be procured from SCI. "Product Warranty" means the warranty on workmanship and materials that Intergraph may purchase for any or all Products pursuant to Section 14.3. "Sales Order(s)" shall mean written instructions from Intergraph to SCI containing Product production quantities by model and part number, the Customer's name and ship-to address, and the scheduled shipping date. Sales Orders shall be transmitted by means of Electronic Data Interface ("EDI") or other means as mutually agreed. "Service Documentation" means and may include some or all of the following, in English and in reproducible format, for the Products and associated Service units and Spare Parts, including assemblies and cable harnesses as applicable: ( a ) Product Specification; ( b ) Schematic, block, and component layout diagrams, and drawings, with reference designators where appropriate ( c ) Complete ▇▇▇▇ of materials, with reference designators to the schematics and vendor part numbers, of all levels within the Product; ( d ) Test and inspection procedures and assembly and disassembly instructions, troubleshooting procedures, alignment and calibration procedures and safety procedures; and ( e ) Specifications (data sheets) for commercially available components with sources of supply, cross-referenced to the schematics and vendor part number. "Service Software" means software necessary for the testing and inspection of the Product and/or Service Units. "Service Units" means serviceable modules and/or field replaceable units of each respective Product. "Spare Parts" means spare parts associated with each respective Product, as separately identified by Intergraph for such Product. "Specifications" means the specification...
Procured Materials means the materials purchased by Trentfab to manufacture the Products for S2C Global Systems, Inc under this Agreement.

Examples of Procured Materials in a sentence

  • Notwithstanding anything to the contrary in this Agreement, Contractor’s warranties do not extend or apply to: (a) Owner Procured Materials (except with respect to Work performed on such Owner Procured Materials); or (b) damage, deterioration or failure resulting from (i) normal wear and tear, (ii) failure of Owner to store, operate or maintain the warranted item in accordance with written operation and maintenance manuals provided by Contractor to Owner, or (iii) modifications made by Owner.

  • Upon request, Trentfab agrees to provide S2C Global Systems, Inc written reports on Procured Materials, current inventory and scheduling in the format specified by S2C.

  • Contractor does not warrant under this Agreement any product, material or services that Owner has furnished or purchased (including Owner Procured Materials).

  • All suppliers of Procured Materials will be considered tier two suppliers to Intergraph.

  • AMS shall not reallocate Procured Materials to the manufacture of products for a customer other than NEXUS such that it affects the delivery of NEXUS products without the prior written approval of NEXUS.

  • If Trentfab does not have sufficient inventory of Procured Materials to satisfy S2C’s Purchase Orders for Service Units and Spare Parts and open Purchase Order for Products, S2C Global Systems, Inc may divert components allocated for production of Products and Service Units to Spare Parts production.

  • S2C Global Systems, Inc will not be a party to these purchase transactions and Trentfab will be solely responsible for all payments for Procured Materials.

  • Contractor shall assure that all warranties issued with respect to Contractor Procured Materials shall run directly, or be assignable by Contractor, to Owner.

  • Trentfab will also authorize its suppliers to provide S2C Global Systems, Inc information regarding the Procured Materials.

  • Contractor shall be responsible for any engineering necessary to facilitate the transportation and delivery of equipment and materials in connection with the Work, including the transportation and delivery of Owner Procured Materials and Contractor Procured Materials to the Work Site.

Procured Materials means the components and other materials, if any, purchased by AMS to manufacture and/or deliver the Products to the NEXUS Customer under this Agreement.

Related to Procured Materials

  • Recovered materials means metal, paper, glass, plastic, textile, or rubber materials that have known recycling potential, can be feasibly recycled, and have been diverted and source separated or have been removed from the solid waste stream for sale, use, or reuse as raw materials, whether or not the materials require subsequent processing or separation from each other, but does not include materials destined for any use that constitutes disposal. Recovered materials as described above are not solid waste.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Standard Materials means all Materials not specified as Custom Materials.
