The entire proceeds of the Loan shall be disbursed on the Closing Date either directly to the applicable third party or parties on account of the Loan Purpose or to reimburse Customer for amounts directly expended by it; all as directed by Customer in a Pay Proceeds Notice to be executed by Customer and delivered to MLC as set forth in Section 2.3.
