Pro Rata Bonus Portion definition
Pro Rata Bonus Portion means (i) 50% in the case of ▇▇▇▇▇ ▇▇▇, and (ii) 50% in the case of ▇▇▇▇▇ ▇▇▇; provided, however, that the number of shares of Parent Common Stock issued to any single recipient under clauses (i) through (ii) shall be rounded down to the nearest whole share.
