PRO FORMA CAPITALIZATION TABLE as defined in Section 4.1(a).
PRO FORMA CAPITALIZATION TABLE means a capitalization table setting forth the total authorized Equity Securities and total outstanding Equity Securities of Subversive, presented assuming the consummation of the ▇▇▇▇▇▇ Transaction, the LCV Transaction and the SC Transactions and all of the transactions contemplated hereby and thereby, including (i) the aggregate number of Equity Securities of Subversive issued or reserved for issuance with respect to the ▇▇▇▇▇▇ Transaction, (ii) the aggregate number of Equity Securities of Subversive issued or reserved for issuance with respect to LCV Transaction, (ii) the aggregate number of Equity Securities of Subversive issued or reserved for issuance with respect to the SC Transactions, and (iv) the aggregate number of Equity Securities of Subversive issued or reserved for issuance to Sponsor and its Affiliates.
