Pro Forma Calculations is amended by inserting "and 5.23" after "5.20".
Pro Forma Calculations means, with respect to any transaction, pro forma financial statements of the Borrower (a) prepared as of the last day of the then most recently completed fiscal quarter of the Borrower, (b) giving pro forma effect to such transaction as of such date, (c) establishing that, on a pro forma basis, the Borrower would have been in compliance with each of the financial covenants set forth in Sections 5.15 through 5.20 as of the end of such most recently completed fiscal quarter notwithstanding the consummation of such transaction (provided that financial covenants otherwise required to be tested with respect to any period of four consecutive fiscal quarters shall be calculated on the basis of the twelve-month period ended as of the last day of such then most recently completed fiscal quarter and as if such transaction had been consummated on the first day of such twelve- month period), and (d) certified by the Borrower's chief financial officer as having been prepared in accordance with the provisions of this Agreement as being accurate in all material respects. "R▇▇▇.▇▇▇" means R▇▇▇.▇▇▇, Inc., a Delaware corporation, which was merged as of June 9, 2000 into the Borrower.
