Pro Forma AUM definition
Pro Forma AUM means the assets under management as of the most recently completed fiscal quarter; provided, that, as of the date hereof, 5% of the Pro Forma AUM shall be deemed to equal $15,000,000, and 5% of the Pro Forma AUM shall at no time exceed $35,000,000.

If the request of assistance implies a high amount of expenses, the competent Authorities will consult each other and decide the terms and conditions of the execution of the request, as well as the modalities of sharing of the expenses.
