Pro Form Basis definition

Pro Form Basis means, with respect to any transaction of merger or consolidation, that such transaction shall be deemed to have occurred as of the first day of the period of four fiscal quarters ending as of the most recent fiscal quarter end preceding the date of such transaction with respect to which the Administrative Agent and the Banks shall have received financial statements and an officer's certificate in accordance with the provisions of Section 5.04.
