Private Placements Platform means such technology owned, operated, or made available by ODB, or an Affiliate of ODB, for Issuer’s use in the Offering on the website located at ▇▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇.
Private Placements Platform means such technology owned, operated or made available by Folio or an Affiliate of Folio for Issuer’s use in making the Private Securities available in a direct Offering.
Private Placements Platform means such technology owned, operated, or made available by ODB, or an Affiliate of ODB, for Issuer’s use in the Offering on the website located at https://republic.com.

  • Notwithstanding the Services as provided under the Agreement, Issuer solely is responsible for maintaining all records of Private Securities and for maintaining accurate and complete records of the aggregate total units of Private Securities sold and redeemed by Issuer through the ODB Private Placements Platform.

  • ODB reserves the right, therefore, in its sole discretion, to change or modify the Private Placements Platform at any time and from time to time.

  • This Agreement shall be effective on the Effective Date and continue in force until the later of (i) so long as the Private Securities remain on the Private Placements Platform or (ii) all fees due to ODB pursuant to Section 3 have been remitted in full (the “Term”), unless otherwise terminated pursuant to the provisions of this Section 8.

  • This Agreement shall be effective on the Effective Date and continue in force until the later of (i) so long as the Private Securities remain on the Private Placements Platform or (ii) all fees due to ODB pursuant to Section 3 have been remitted in full (the “Term”), unless otherwise terminated pursuant to the provisions of this Section 8 provided with respect solely to Section 3.1, the Term shall extend until such time as any Warrants issued in an Offering are exercised or cancelled.

  • This Agreement shall be effective on the Effective Date, and continue in force for so long as the Private Securities remain on the Private Placements Platform (the “Term”), unless otherwise terminated pursuant to the provisions of this Section 8.

  • ODB, with its Affiliates, owns the ODB Branding, Private Placements Platform, and ODB Content and/or has the right to grant the licenses and/or rights of use as contemplated by this Agreement.

  • ODB shall remove all references to Issuer Name, Issuer Branding, and Issuer Content and shall terminate all links on the Private Placements Platform to any Issuer Site.

Related to Private Placements Platform

  • Private Placement (or “limited offering”) means an offering that is exempt from registration under the 1933 Act pursuant to Section 4(2) or Section 4(6) of the 1933 Act or pursuant to rule 504, rule 505 or rule 506 under the 1933 Act.

  • Trading Platform means all programs and technology that present quotes in real-time, allow the placement/modification/deletion of orders and calculation of all mutual obligations of the Client and the Company.

  • Private place means a location which, at the time alcoholic beverages are kept, dispensed, or consumed, meets all of the following criteria:

  • online platform means a provider of a hosting service which, at the request of a recipient of the service, stores and disseminates to the public information, unless that activity is a minor and purely ancillary feature of another service and, for objective and technical reasons cannot be used without that other service, and the integration of the feature into the other service is not a means to circumvent the applicability of this Regulation.

  • Hosting platform means a hosted infrastructure to run the Cloud Service.
