Private Placement Numbers. A Private Placement Number issued by Standard & Poor’s CUSIP Service Bureau (in cooperation with the SVO) shall have been obtained for each series of the Notes.
Private Placement Numbers. The Obligors shall have obtained for each series of the Notes a Private Placement Number issued by Standard & Poor's CUSIP Service Bureau (in cooperation with the Securities Valuation Office of the National Association of Insurance Commissioners).
Private Placement Numbers. The Company shall have obtained or caused to be obtained private placement numbers for the 1998 Notes and the 1998 Warrants from the CUSIP Service Bureau of Standard & Poor's, a division of XxXxxx-Xxxx, Inc., and the Purchaser shall have been informed of such private placement numbers.

The Company covenants and agrees to obtain, and thereafter maintain, a private placement number in respect of the Warrants and a private placement number or CUSIP number, as appropriate, in respect of the Warrant Shares from the CUSIP Service Bureau of Standard & Poor's, a division of XxXxxx-Xxxx, Inc.

At the request of any Holder, the Issuer shall assist such Holder in obtaining a Private Placement number issued by Standard & Poor's CUSIP Service Bureau (in cooperation with the Securities Valuation Office of the National Association of Insurance Commissioners) for the Notes.

On or prior to the Closing Date, special counsel to the Purchaser shall have duly made the appropriate filings with Standard & Poor's CUSIP Service Bureau, as agent for the National Association of Insurance Commissioners, in order to obtain private placement numbers for the Notes, the Warrants, the Series A Preferred Stock and the Common Stock.
Private Placement Numbers. The Company shall have obtained or caused to be obtained private placement numbers for the Series A Cumulative Convertible Preferred Stock from the CUSIP Service Bureau of Standard & Poor’s, a division of MxXxxx-Xxxx, Inc. and such Purchaser shall have been informed of such private placement numbers.
Private Placement Numbers. The Series B Preferred Stock and the Warrants shall have been assigned private placement numbers by Standard & Poor's Corporation.
