Private license definition

Private license allows use of the Software by Licensee's employees and is granted either for a specified number of Concurrent Users or for specified Mobile/Named Users. "Concurrent Users" are the maximum number of simultaneous Users accessing the Software at the front end, regardless of whether such front end is multiplexing. Concurrent Users are designated as either Full Universal Users or Restricted Users. A "Full Universal User" may access any or all Software for which a Server License fee has been paid. A "Restricted User" may access only one Software application as specified in an Order. A "Mobile/Named User" is a named individual designated by Licensee to use specific Software which Clarify licenses on a Mobile/Named User basis. A "Public License" allows Licensee to permit its customers to access (by means of an external interface such as the Internet) and use the Software on a limited basis. To the extent that Licensee has acquired Public Licenses, Licensee and its customers executing the software under a Public User license shall have the right to access and use the software through any internet or intranet via the use of Clarify's web support applications, as described in this section. Licensee shall be responsible for ensuring that customer Users under a Public License use the Software in accordance with the license terms of this Agreement and shall indemnify and hold Clarify harmless from any claim by or liability to such customers arising out of such customers' access to and use of the Software. However, this section shall not limit Clarify's liability under Section 8 of this Agreement. Each Order will specify the number of Server Licenses and the number and type of User Licenses granted for the Software licensed under such Order.
Private license. The provided Software is protected by license and requires a fee. The user acquires a perpetual, simple, and non-sublicensable license to use the supplied Software. It is not allowed to use or resell the delivered software for commercial purposes. Which type of usage license is offered for a product can be found in the data sheet of the software. It is not permitted to edit, modify, disassemble or decompile the Software or to use other processes of reverse engineering to by-pass the licensing mechanism, or to have these processes performed by third parties, insofar as this is not absolutely required for exploiting the rights that result from licenses in all events for open source components. The Software can be components that are licensed as open source software. For these components, the contents of the respective open source licenses apply, as also stored in the Software. The list of components with the terms and conditions of license are available for reading before purchase and are also included in the Software. The licensee receives a simple rights of use from the respective right holders for using the open source software under the conditions as provided for it by the respective valid license terms. The provided license terms apply to only the components that are not licensed as open source software. All rights regarding the usage and exploitation of the software and Software remain reserved to CODESYS GmbH.
