Private Assets definition

Private Assets means Equity Interests in private operating companies.
Private Assets means investments that are not publicly traded or listed on a public stock exchange and that are not part of the Company’s core fixed income investment portfolio. Private Asset equity investments are Private Asset investments that are structured and negotiated by the Company where the Company owns an equity or residual interest in an entity, special purpose vehicle, trust, division, fund, partnership, limited partnership or any form of corporation. Private Asset equity investments purchased during a calendar year or Vintage means the amount of the transaction that has funded resulting in an economic interest or right to a future economic interest in the vehicle being acquired by the Company by the end of that calendar year or Vintage.
Private Assets. The Condominium consists of thirteen subsidiary properties which are described as land for the construction of office buildings, industrial or commercial units, and which make up the private area of the Condominium. Each one of the subsidiary properties has been identified by means of a lot number, as appears on the corresponding blueprint as well as in the deed of constitution. The joint owners acquire, together with the subsidiary or private assets, the right to use the shared elements that are defined by Law and this Bylaw, as well as those entitlements and obligations which are acknowledged and imposed by this Bylaw. In such manner that each one of the joint owners may hold and derive from the entitlement that they may have over the subsidiary property understood

  • Services may terminate the Investment Adviser’s appointment as an investment manager with respect to all of the Assets at any time upon thirty (30) days prior written notice to the Investment Adviser (or mutually agreed shorter period) with respect to Public Assets and ninety (90) days prior written notice to the Investment Adviser (or mutually agreed shorter period) with respect to Private Assets.

  • In addition, in the event there is an offer to purchase the Private Assets prior to being listed on an exchange (a “Private Offer”), the SUB-ADVISER will be permitted to make investment decisions with respect to such Private Offer.

  • The Administrative Agent may rely, in determining which Credit Assets are Eligible Credit Assets (or Eligible Subordinated Credit Assets or Eligible First Lien Credit Assets), Private Assets are Eligible Private Assets and Public Equities are Eligible Public Equities on all statements and representations made by the Loan Parties in respect of such Credit Assets, Private Assets and Public Equities.

  • In the event a Private Asset is listed on an exchange, following the expiration of the applicable lock-up period, the SUB-ADVISER shall promptly sell such Private Asset on the exchange contingent on market conditions and available liquidity Without prior consultation with VALIC, SUB-ADVISER will make investment decisions with respect to the Private Assets and place transaction orders with brokers, dealers, exchanges, issuers and counterparties selected by SUB-ADVISER.

  • If Your Water System or Your Sewerage System connects to Shared Private Assets before connecting to our Infrastructure, TasWater is not responsible for the maintenance, replacement and costs associated with these Shared Private Assets, or any damage arising from a fault or failure of Shared Private Assets.

  • The name of the trust governed hereby is “North Haven Private Assets Fund,” in which name, or other name from time to time as the Trustees may determine, the Trustees shall conduct the business and activities of the Trust and execute all documents and take all actions authorized herein.

  • Real Estate Assets means any investment by the Company or the Operating Partnership in unimproved and improved Real Property (including fee or leasehold interests, options and leases), directly, through one or more subsidiaries or through a Joint Venture.

  • Aggregate Assets means the value of the Sub-Advised Assets and the Other Accounts on the Valuation Date during the applicable calendar month. The values for the Sub-Advised Assets and Other Accounts shall be as reported by the applicable custodian and fund administrator.
