The Purchase Price Adjustment and/or the Sellers' Loans and Private Accounts Purchase Price Adjustment as determined by the Arbitrator shall be final and binding on the Parties subject to Clause 319 of the German Civil Code (BGB).
The Sellers' Loans and Private Accounts as of the Effective Date (as defined in Clause 1.7) shall be sold and purchased in accordance with Clause 2.2.
The Seller's Loan and Private Accounts as of the Effective Date shall be sold and transferred to the Purchaser in accordance with Clause 2.2 and Clause 2.3(b).
