Priority Allocation definition

Priority Allocation means, with respect to each Class D Common Unit, allocations of Net Income described in Section 6.1(c)(i)(B) in an aggregate amount such that, immediately after taking such allocations into account, the Economic Capital Account Balance attributable to ownership of such Class D Common Unit shall be in proportion to the relative Economic Capital Account Balances of all Partners (in each case based on relative Percentage Interests of all Partners attributable to Common Units other than any series or classes of Common Units subordinate to such Class D Common Unit).
Priority Allocation means allocations of Net Income with respect to each Class D Common Unit or PSI described in Section 6.1(c)(i)(B) or 6.1(c)(i)(C), respectively, in an aggregate amount such that, immediately after taking such allocations into account, the Economic Capital Account Balance attributable to ownership of such Class D Common Unit or PSI shall be in proportion to the relative Economic Capital Account Balances of all Partners (in each case based on relative Percentage Interests of all Partners attributable to Common Units or PSIs other than any series or classes of Common Units subordinate to such Class D Common Unit or PSI, respectively).
Priority Allocation means allocations of Net Income with respect to each Participating Class P Common Unit, Class D Common Unit or PSI described in Section 6.1(c)(i)(B), 6.1(c)(i)(C) or 6.1(c)(i)(D), respectively, in an aggregate amount such that, immediately after taking such allocations into account, the Economic Capital Account Balance attributable to ownership of such Participating Class P Common Unit, Class D Common Unit or PSI shall be in proportion to the relative Economic Capital Account Balances of all Partners (in each case based on relative Percentage Interests of all Partners attributable to Common Units or PSIs other than any series or classes of Common Units subordinate to such Participating Class P Common Unit, Class D Common Unit or PSI, respectively).

  • As a result thereof, the qualified investors who have been provisionally allotted will see their orders reduced pro rata to the exercise by the Existing Shareholders of their Priority Allocation right and will only be delivered the Convertible Bonds that were not subscribed by the Existing Shareholders having exercised their Priority Allocation right in the Offering.

  • For subscriptions made by qualified investors in the Private Placement, the allocation will be determined (i) primarily based on the number of Convertible Bonds that have not been subscribed to by Existing Shareholders in accordance with the Priority Allocation right and (ii) on the quantitative and the qualitative analysis of the order book, including but not limited to the number of subscriptions and the quality of the subscribers.

  • To the extent that an Existing Shareholder does not exercise its Priority Allocation rights to subscribe for the Convertible Bonds, such Existing Shareholder’s proportionate ownership and voting interest in the Issuer is likely to be reduced, and the percentage that such shareholder held in the Issuer’s share capital prior to the issuance of new Ordinary Shares as a result of the exercise of Convertible Bonds will accordingly be reduced.

  • Due to the features of the transaction, the Coupons representing the Priority Allocation right will not be listed on any market and Existing Shareholders will therefore not be able to buy such additional number of Coupons as required to hold 14 Coupons or a multiple thereof.

  • The public offering in Belgium in respect of the Priority Allocation is made by the Issuer.

  • The public offering in Belgium in respect of the Priority Allocation will take place during three (3) business days from 9:00 a.m. on 7 September 2016 to 5:00 p.m. (Brussels time) on 9 September 2016 (the "Priority Allocation Period").

  • In practice, this means that the subscriptions made by Existing Shareholders with the relevant Coupon will benefit from a Priority Allocation and Convertible Bonds will be allotted in full without reduction to Existing Shareholders having subscribed on that basis.

  • In the context of the Priority Allocation, the Issuer accepts responsibility for the content of the Prospectus, in relation to any Existing Shareholder to whom any offer of Convertible Bonds is made by any financial intermediary to whom the Issuer has given its consent to use of this Prospectus in connection with the Priority Allocation of the Convertible Bonds, subject to the conditions set out below.

  • The Joint Bookrunners are not making a public offer in Belgium to investors that are not qualified investors and are not assisting the Issuer with the Priority Allocation insofar it relates to the public offer in Belgium to investors that are not qualified investors and have no duties or responsibilities in this respect.

  • Required Allocations means (a) any limitation imposed on any allocation of Net Losses or Net Termination Losses under Section 6.1(b) or 6.1(c)(ii) and (b) any allocation of an item of income, gain, loss or deduction pursuant to Section 6.1(d)(i), 6.1(d)(ii), 6.1(d)(iv), 6.1(d)(vii) or 6.1(d)(ix).

  • Carryover Allocation means an Allocation made to the Project if the Project will not be Placed in Service by close of the calendar year of the Allocation.

  • Reais Allocation Date means, with respect of any Reais Transfer Date, the Business Day which is immediately prior to such Reais Transfer Date.

  • Regulatory Allocations shall have the meaning set forth in Section 6.3.A(viii).

  • Priority Amount As to any Distribution Date, the amount equal to the sum of (i) the product of (A) the Scheduled Principal Distribution Amount, (B) the Shift Percentage and (C) the Priority Percentage and (ii) the product of (A) the Unscheduled Principal Distribution Amount, (B) the Shift Percentage and (C) the Priority Percentage.
